Welcome to Simpata.com ("Service"), operated by General Blue Corporation ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.
Description of Service
Simpata is a cloud-based Software as a Service (SaaS) platform that provides integrated business management solutions, including:
- Timesheet Software: Employee time tracking and approval workflows
- Expense Management: Expense tracking, receipt capture, and reimbursement management
- HR Management: Employee records, attendance tracking, and PTO management
- Project Tracking: Project management, task assignment, and budget monitoring
- Client Billing: Invoice generation and payment tracking
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason, including but not limited to maintenance, upgrades, or regulatory compliance.
Account Responsibilities
Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and current.
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that you log out from your account at the end of each session
Organizational Accounts
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization.

Violation of these terms may result in immediate termination of your account and legal action. We reserve the right to investigate and prosecute violations to the fullest extent of the law.

Simpata™, OfficeSeries™, and all General Blue Corporation product names, logos, and slogans are trademarks or registered trademarks of General Blue Corporation in the United States and other countries.
Other product and company names mentioned on the Service may be trademarks of their respective owners. You may not use any trademarks without the prior written permission of the trademark owner.
Your Content
You retain all rights to content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display Your Content solely for the purpose of providing the Service to you.
License to Use the Service
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
Documents and Content
Use of Documents
Permission to use documents available on this Service (such as white papers, press releases, data sheets, and FAQs) is granted, provided that:
- The copyright notice appears in all copies and both the copyright notice and permission notice appear
- Use of such documents is for informational, non-commercial, or personal use only
- Documents will not be copied or posted on any network computer or broadcast in any media

Documents specified above do not include the design or layout of the Simpata.com website or any other General Blue Corporation owned, operated, licensed, or controlled site. - DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE
- DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SERVICE

Termination

- Non-payment of fees
- Fraudulent, illegal, or harmful activity

Effect of Termination
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Jurisdiction
You agree that any legal action or proceeding relating to your access to, or use of, the Service shall be instituted in a state or federal court located in California, United States. You agree to submit to the jurisdiction of such courts and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue available legal remedies.
Miscellaneous Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and General Blue Corporation.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without your consent to any affiliate or in connection with a merger, acquisition, or sale of assets.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
